51 Third, as regards the reasons for the Commission’s statement that the Land receives ‘the whole of the agreed remuneration whereas an investor in the share capital is entitled only to payment of a dividend in proportion to profits’, suffice it to note that it is clear from the whole of recital 26 to the contested decision – which states that, ‘just like an investor of a silent partnership contribution on the capital market’, the Land receives the whole of that remuneration – that the Commission considered the form of the agreed remuneration for the contribution at issue to be characteristic of silent partnership contributions rather than of share capital, and that that fact, among others, supports the proposition that the contribution at issue should be classified as a silent partnership contribution.
51 Met betrekking tot, ten derde, de motivering van de stelling van de Commissie dat het Land „de volledige overeengekomen vergoeding ontvangt, terwijl degene die in vennootschappelijk kapitaal investeert, slechts recht heeft op een winstgerelateerd dividend”, behoeft slechts te worden vastgesteld dat bij lezing van de volledige zin van punt 26 van de bestreden beschikking, waarin staat dat het Land, „net als de op de kapitaalmarkt opererende investeerder die een stille inbreng doet”, de volledige vergoeding ontvangt, duidelijk blijkt dat de Commissie heeft geoordeeld dat de vorm van de voor de omstreden inbreng overeengekomen vergoeding kenmerkend was voor stille inbrengen en niet voor vennootschappelijk kapitaal, en dat onder meer die omstandigheid ervoor pleitte, de omstreden inbreng als stille inbreng aan te merken.EurLex-2 EurLex-2
