Komissio vastaanotti 2. elokuuta 2007 neuvoston asetuksen (EY) N:o 139/2004 (1) 4 artiklan mukaisen ilmoituksen ehdotetusta yrityskeskittymästä, jolla norjalainen yritys Yara International ASA (Yara) hankkii asetuksen 3 artiklan 1 kohdan b alakohdassa tarkoitetun määräysvallan suomalaisessa yrityksessä Kemira GrowHow Oyi (GrowHow) 18. heinäkuuta 2007 ilmoitetulla julkisella tarjouksella.
On 2 August 2007, the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertaking Yara International ASA (‘Yara’, Norway) acquires within the meaning of Article 3(1)(b) of the Council Regulation control of the whole of the undertaking Kemira GrowHow Oyi (‘GrowHow’, Finland) by way of a public bid announced on 18 July 2007.

Joka tapauksessa Marine Harvestin toiminta oli tuottamuksellista, koska i) Marine Harvest on suuri eurooppalainen yritys, jolla on paljon aikaisempaa kokemusta sulautumamenettelyistä, ii) Marine Harvest hankki oikeudellista neuvontaa erittäin myöhäisessä vaiheessa, nimittäin kaupan päätökseen saattamispäivänä, iii) Marine Harvestin olisi pitänyt voida päätellä sulautuma-asetuksen 7 artiklan 2 kohdan soveltamista koskevan ennakkotapauksen (Yara / Kemira Growhow) perusteella, että sen toiminta ei erittäin todennäköisesti kuulunut sulautuma-asetuksen 7 artiklan 2 kohdan poikkeuksen soveltamisalaan ja iv) Marine Harvestille oli jo määrätty sakkoja kaupan ennenaikaisesta toteuttamisesta kansallisella tasolla Fjord Seafoodin hankinnan yhteydessä.
In any event, Marine Harvest’s conduct was negligent, because (i) Marine Harvest is a large European company with significant previous experiences in merger proceedings, (ii) Marine Harvest obtained legal advice at a very late stage, i.e. on the day of the closing of the deal, (iii) the existence of a precedent on the interpretation of Article 7(2) Merger Regulation (Yara/Kemira Growhow) should have led Marine Harvest to the conclusion that its conduct was most likely not covered by the exception of Article 7(2) of the Merger Regulation and (iv) Marine Harvest had already been fined for early implementation at national level in the context of its acquisition of Fjord Seafood.
