Dall’ordinanza di rinvio emerge che il giudice del rinvio prende in considerazione due possibili interpretazioni della nozione di «collusione»: da un lato, una lettura restrittiva che presuppone un accordo clandestino e fraudolento in danno di terzi e in elusione di disposizioni imperative di legge e che postula la sussistenza dell’elemento volitivo e intenzionale in capo a tutti i partecipi dell’accordo (in prosieguo: la «lettura restrittiva» o l’«accezione restrittiva»); dall’altra, una lettura estensiva della nozione di «collusione», in base alla quale l’accordo può consistere in elementi ulteriori rispetto alla transazione sfociata effettivamente nell’offerta pubblica di acquisto e che non richiede necessariamente l’esistenza di un elemento volitivo e intenzionale in capo a tutti i partecipi dell’accordo (in prosieguo: la «lettura estensiva» o l’«accezione estensiva»).
It emerges from the order for reference that the referring court envisages two possible interpretations of the concept of ‘collusion’: on the one hand, a narrow reading, which requires a clandestine and fraudulent agreement to the detriment of third parties that eludes mandatory statutory provisions, and presupposes the existence of an element of intent on the part of all the participants to the agreement (‘the narrow reading’ or ‘the narrow sense’); and, on the other hand, a broad reading of the concept of ‘collusion’, according to which the agreement may consist of elements beyond the actual transaction triggering the mandatory takeover bid, and which does not necessarily require the existence of an element of intent on the part of all the participants to that agreement (‘the broad reading’ or ‘the broad sense’).eurlex-diff-2018-06-20 eurlex-diff-2018-06-20
