Artikel 1, lid 1, van de Companies Act 2006 bepaalt dat een vennootschap een limited company is wanneer de aansprakelijkheid van haar leden statutair wordt beperkt en dat de aansprakelijkheid door aandelen (shares) of door een waarborgsom (guarantee) mag zijn beperkt.
