تكون الاتفاقات التي يبرمها المساهمون بشأن احتياز الأسهم أو بيعها، أو حقوق الشُّفعة بأنواعها، أو ممارسة حقوق التصويت، أو التصويت بالوكالة، أو أيِّ أمر وجيه آخر، مُلزِمةً للكيان التجاري المبسَّط، شريطة أن تكون تلك الاتفاقات قد أُودعت لدى الكيان التجاري المبسَّط.

Agreements entered into among shareholders concerning the acquisition or sale of shares, pre-emptive rights or rights of first refusal, the exercise of voting rights, voting by proxy, or any other valid matter, shall be binding upon the simplified business entity, provided that such agreements have been filed with the simplified business entity.

Los acuerdos entre accionistas sobre la compra o venta de acciones, los derechos de preferencia o de prelación, el ejercicio del derecho de voto, el voto por poder o cualquier otro asunto válido serán vinculantes para la entidad mercantil simplificada, siempre que esos acuerdos se hayan inscrito en su registro correspondiente.
