ورأت المحكمة الابتدائية أنَّ العقد الذي وُضع موضع التنفيذ بموجب أمريْ الشراء لا يمكن تعديله ومن ثمَّ فإنَّ الفاتورتين المبدئيتين اللاحقتين لا يمكن أن يكون لهما تأثير تعاقدي، بمعنى أنهما لا يمكن أن تغيِّرا ما تم الاتفاق عليه في البداية عندما قُبل العرض الأوَّلي.

The court of first instance held that the contract that had been put into effect by the purchase orders could not be amended and that the subsequent pro forma invoices could thus not have contractual effectiveness: that is, they could not vary what was initially agreed when the initial offer was accepted.

Entiende el tribunal que no es posible modificar el contrato formalizado en las órdenes de compra y por lo tanto no cabe atribuir a las facturas proforma posteriores eficacia contractual, es decir, aptitud para poder variar lo inicialmente convenido al asentir a la oferta inicial.
