The Bank’s Annual General Meeting held on March 12, 2010 approved a Multi-Year Variable Share-based Remuneration Program for 2010/2011 designed for the members of BBVA’s executive team, including the executive directors and members of the Management Committee (hereinafter, the “2010-2011 Program”). The result is obtained by multiplying the number of units assigned at the start of the Program to each beneficiary by a coefficient, between 0 and 2, established based on the evolution of the Bank’s total shareholders return (TSR) in 2010-2011 as compared to the evolution of this same indicator in a group of 18 international reference banks.

La Junta General de Accionistas del Banco celebrada el pasado 12 de marzo de 2010 aprobó un Programa de Retribución Variable Plurianual en acciones para los ejercicios 2010-2011 dirigido a los miembros del equipo directivo de BBVA, incluidos consejeros ejecutivos y miembros del Comité de Dirección (en adelante, el “Programa 2010-2011”), cuyo resultado se obtiene de multiplicar el número de unidades asignadas al inicio del mismo a cada beneficiario por un coeficiente, de entre 0 y 2, establecido en función de la evolución de la retribución total para el accionista (TSR) del Banco durante el ejercicio 2010-2011 comparada con la evolución de este mismo indicador en un grupo de 18 bancos internacionales de referencia.
