The Memorandum describes the Security Agreement between the Borrower and the Agent dated as of June 27, 2002, including all present and future Exhibits thereto (such security agreement, as it may be amended or modified from time to time, the "Security Agreement") by which the Borrower has granted a security interest to the Agent for the ratable benefit of the Secured Parties (as defined in the Security Agreement) in all assets of the Borrower, including without limitation, certain railroad equipment described on and bearing reporting marks and road numbers as provided on Exhibit A (the "Railcars") and certain leases relating to such Railcars as described on Exhibit B (the "Leases"), whether now owned or hereafter arising or acquired.

Le protocole décrit la convention de sûreté intervenue entre l'emprunteur et le représentant en date du 27 juin 2002, notamment la totalité des pièces actuelles et futures à cette convention (cette convention de sûreté, en sa version modifiée à l'occasion, étant appelée aux présentes la « convention de sûreté ») aux termes de laquelle l'emprunteur a accordé au représentant, au profit proportionnel des titulaires de la sûreté (au sens où l'entend la convention de sûreté), une sûreté sur tous les actifs de l'emprunteur, notamment sur le matériel ferroviaire décrit dans la pièce A du protocole et portant les marques de wagon et les matricules-machines qui y sont décrits (les « automotrices ») et certains baux relatifs à ces automotrices décrits dans la pièce B du protocole (les « baux »), que leur propriété soit actuelle ou qu'elle naisse ou soit acquise par la suite.
