والمهمة التي تقع على عاتق اللجنة هي إيجاد توازن بين مصالح الطرفين البريئين: الدائن المضمون الأصلي للمانح، الذي ربما لا يعلم بنقل الموجود المرهون، ومُشترٍ لاحق من الدائن المضمون للشخص المحال إليه الذي لا سبيل له إلى العلم بهذا النقل من الإشعار المسجّل.

The task before the Commission was to balance the interests of two innocent parties: the original secured creditor of the grantor, which was perhaps unaware of the transfer of the encumbered asset, and a subsequent purchaser from or secured creditor of the transferee that had no way of obtaining knowledge of the transfer from the registered notice.
