The Arrangement Agreement contains customary provisions prohibiting Victhom from soliciting any other acquisition proposals and providing the Purchaser with a right to match any unsolicited acquisition proposal from a third party that the Board of Directors of Victhom determines, in the exercise of its fiduciary duties, to be superior to the transaction contemplated by the Arrangement Agreement.
