(২) কর্পোরেশনের কোনো মনোনীত বা নির্বাচিত পরিচালক অনুমতি ব্যতিরেকে একাদিক্রমে পরিচালনা পর্ষদের তিনটি সভায় যোগদানে অসমর্থ হলে উক্ত পদটি শূন্য বলে গণ্য হবে এবং উক্ত শূন্য পদের দায়িত্ব পালনের জন্য উপ-ধারা (১) এর বিধানমতে সরকার বা, ক্ষেত্রমত, শেয়ারহোল্ডারগণ নূতন পরিচালক মনোনয়ন বা, ক্ষেত্রমত, নির্বাচন করবেন।

If any nominated or elected Director of the corporation becomes unable to attend three consecutive meetings of the Board of Directors without permission, his office shall be deemed to be vacant and the Government or the shareholders, as the case may be, shall nominate or elect, as the case may be, a new Director in accordance with the provisions of sub-section (1) for discharging the duties of the said vacant post.
